Welcome to Honex ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of Honex's AI-powered e-commerce customer service automation platform, including our website, web application, mobile applications, and related services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use the Service. These Terms apply to all users, including merchants, administrators, and visitors to our website.

Please read these Terms carefully before using our Service. We may update these Terms from time to time, and your continued use of the Service after such changes constitutes acceptance of the updated Terms.

2. Acceptance of Terms

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. If you are under 18, you may not use the Service without the consent and supervision of a parent or legal guardian.

3. Description of Service

Honex provides an AI-powered customer service automation platform that enables merchants to:

  • Automate customer service interactions across Facebook Messenger, Instagram Direct Messages, and WhatsApp
  • Configure AI chatbots with custom prompts and settings for their social media channels
  • Manage and monitor customer conversations through our web and mobile applications
  • Access analytics and insights about customer interactions and chatbot performance

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We do not guarantee that the Service will be available at all times or that it will be error-free.

4. Account Registration and Security

4.1 Account Creation

To use certain features of the Service, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials, including your password.

4.2 Account Responsibilities

You agree to:

  • Maintain the security of your account and promptly notify us of any unauthorized access or use
  • Use a strong, unique password and not share your account credentials with others
  • Be responsible for all activities that occur under your account, whether authorized or not
  • Provide accurate and up-to-date information and update it promptly when it changes
  • Not create multiple accounts to circumvent usage limits or restrictions

4.3 Account Suspension and Termination

We reserve the right to suspend or terminate your account immediately, without prior notice, if you violate these Terms, engage in fraudulent or illegal activities, or if we determine that your use of the Service poses a risk to us, other users, or third parties.

5. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Use the Service to violate any applicable laws, regulations, or third-party rights
  • Transmit, distribute, or store any content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
  • Use the Service to send spam, unsolicited messages, or engage in any form of harassment
  • Impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity
  • Interfere with or disrupt the Service, servers, or networks connected to the Service
  • Attempt to gain unauthorized access to the Service, other accounts, or computer systems
  • Use automated systems (bots, scrapers, etc.) to access the Service without our express written permission
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to compete with us or to build a similar or competitive service
  • Share, resell, or sublicense access to the Service without our prior written consent

We reserve the right to investigate violations of this Acceptable Use Policy and may involve law enforcement authorities in prosecuting users who violate these Terms.

6. Social Media Account Connections

To use certain features of the Service, you may need to connect your social media accounts (Facebook Pages, Instagram Business accounts, WhatsApp Business accounts) through OAuth authentication.

By connecting your social media accounts, you:

  • Grant us permission to access and manage your connected accounts as necessary to provide the Service
  • Authorize us to send and receive messages on your behalf through the connected accounts
  • Represent and warrant that you own or have the legal right to connect and manage the accounts you connect
  • Acknowledge that your use of the Service is subject to the terms and policies of the respective social media platforms
  • Understand that we are not responsible for any actions taken by social media platforms that may affect your accounts or the Service

You may disconnect your social media accounts at any time through the Service settings. Upon disconnection, we will revoke access tokens and stop processing messages for that account.

7. Intellectual Property Rights

7.1 Our Intellectual Property

The Service, including its original content, features, functionality, design, logos, trademarks, and software, is owned by Honex and protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

7.2 Your Content

You retain ownership of any content you provide to the Service, including AI prompts, channel configurations, and customer messages. By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and process your content solely for the purpose of providing and improving the Service.

7.3 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you agree that we may use such feedback without restriction or compensation to you.

8. AI and Third-Party Services

The Service uses third-party AI service providers to power chatbot functionality. You acknowledge that:

  • AI-generated responses may not always be accurate, appropriate, or error-free
  • You are responsible for monitoring and reviewing AI-generated responses and ensuring they comply with applicable laws and your business policies
  • We are not liable for any consequences arising from AI-generated content or responses
  • The Service integrates with third-party platforms (Facebook, Instagram, WhatsApp) and is subject to their terms of service and policies
  • We are not responsible for any actions, changes, or limitations imposed by third-party platforms that may affect the Service

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HONEX AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your use or inability to use the Service
  • Any unauthorized access to or use of our servers or your data
  • Any interruption or cessation of the Service
  • Any bugs, viruses, or other harmful code transmitted through the Service
  • Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content
  • Any actions or inactions of third-party platforms or services

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

10. Warranties and Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that:

  • The Service will be uninterrupted, secure, or error-free
  • Any defects or errors will be corrected
  • The Service is free of viruses or other harmful components
  • The results obtained from using the Service will be accurate or reliable

You assume all risk for your use of the Service. We disclaim all liability for any harm or damage arising from your use of the Service.

11. Indemnification

You agree to indemnify, defend, and hold harmless Honex and its affiliates, officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from:

  • Your use of or access to the Service
  • Your violation of these Terms
  • Your violation of any third-party right, including intellectual property rights or privacy rights
  • Any content you submit, post, or transmit through the Service
  • Your connection of social media accounts and the use of our Service in connection with those accounts

12. Termination

You may terminate your account at any time by deleting your account through the Service settings. Upon termination:

  • Your right to use the Service will immediately cease
  • We may delete your account and data in accordance with our Privacy Policy
  • All provisions of these Terms that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, and limitations of liability

We reserve the right to terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including if you breach these Terms.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Honex operates, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of a recognized arbitration organization, except where prohibited by law. You waive any right to a jury trial or to participate in a class-action lawsuit.

If arbitration is not permitted by law, any disputes shall be resolved in the courts of the jurisdiction in which Honex operates.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.

If you do not agree to the updated Terms, you must stop using the Service and may terminate your account.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and Honex regarding the Service and supersede all prior agreements and understandings.
